By accessing and using the Website you acquire the status of "User", which implies full acceptance of all the provisions of this Legal Notice and the rest of the "Legal Texts" including this Legal Notice, the Terms and Conditions, the Privacy Policy and the Cookies Policy.

This Legal Notice regulates the access, navigation and use of this Website, without prejudice that Gretel reserves the right to modify the presentation, configuration and content of the same, as well as the conditions required for its access and/or use. The access and use of the contents of the Website after the entry into force of its modifications or changes implies the acceptance of the same.  

This Legal Notice is part of Gretel and reserves the right to modify the terms and conditions stipulated herein, in whole or in part, by publishing any changes in the same form in which they appear in this Legal Notice or through any type of communication addressed to Users.  

Use of the website

The User agrees to make proper, diligent and lawful use of the Website and, in particular (i) not to use the Website for illicit and/or illegitimate purposes; or illegally (ii) not to use the Website to the detriment of Gretel’s interests (iii) not to use the Website with the purpose of causing damage, inefficiencies, interruptions, saturation, or analogous defects in the functionality of the Website; including the transmission of malware, viruses or similar programs to disseminate or publish offensive, racist, denigrating or pornographic content that could cause discomfort to people; (iv) not to break the security measures established by Gretel; (v) not to use the Website for advertising purposes, such as sending spam or other similar ways;   

The User shall be liable for the breach of any of the aforementioned misuse of the Website, as well as for any loss or damage suffered by Gretel due to a direct or indirect misuse of the Website. For these purposes, Gretel may exercise all the judicial and extrajudicial actions it deems appropriate.  

Privacy

All data provided to Gretel through the Website will be treated by Gretel as Data Controller, respecting the confidentiality, integrity and availability of personal data, in accordance with the Privacy Policy. 

Cookies

The use of cookies on the Website will be regulated in the Cookies Policy.

Commercial Communications

Provided that the User gives his express consent, or in case of having a contract in force with the User, Gretel will send commercial communications to keep the User updated on all the news, as well as any type of information about Gretel or the services it provides that may be of interest to him/her.

Gretel shall send such commercial communications for as long as the User maintains his/her consent to do so or for as long as the contractual relationship with the User is in force. However, if the User does not wish to receive any more commercial communications, he/she may withdraw his/her consent through the form provided in the commercial communications, or, if applicable, by sending an e-mail to hello@gretel.co 

Links

The Website may contain links to other websites in order to complement the services offered to the User. Gretel is not the owner of these websites, so it is not responsible for their contents or for the damages that the use of them may cause to the User. 

If the User of the Website accesses such websites and the services they offer, Gretel shall not be involved in any type of relationship that may be established between the User and the owners of such websites or any third parties related to them.

Likewise, the owner of a website which intends to insert a link to the Website must obtain prior authorization from Gretel.

Gretel shall not be responsible for the contents of those websites in which there is a link to the Website and shall not be involved in any type of relationship that may be established between the owners of such web pages and the Users of the Website. 

Industrial and Intellectual Property

The intellectual and industrial property rights incorporated in the Website, the graphic design and computer codes, as well as the distinctive signs and trademarks, the text, images, videos (hereinafter the "Content") displayed on the Website are the property of Gretel. The User shall use the services of the Website respecting such ownership and the use of the services shall not grant any rights in relation to the Content of the Website. 

Any use of the Content for which Gretel has not expressly authorized, whether directly or indirectly for profit or not, including the downloading, storage, transmission, public disclosure, distribution, reproduction or transformation, in whole or in part, of such content is expressly prohibited, so Gretel may exercise all judicial and extrajudicial actions it deems appropriate to any breach of its rights.  

Responsibility 

Gretel has made every effort to ensure that the information on the Website is accurate and up to date. However, Gretel makes no warranties or representations as to the accuracy and currency of the contents of the Website. Gretel is not responsible for any errors or omissions in the contents of the Website and reserves the right to change such contents at any time without notice.   

The commercial relations between Gretel and the Users are governed by other general conditions or specific agreements, so that the contents of the Website do not prevail over such conditions or agreements and the Users cannot condition the commercial policy that Gretel decides to adopt at any time.    

Gretel is not responsible for any errors or failures in the operation of the Website, whether intrinsic or due to the characteristics and limitations of the Internet. The User assumes any risk arising from the use of the Internet, including the possible transmission of computer viruses. Gretel does not guarantee the uninterrupted operation of the services of the Website and shall not be liable for any damages that may arise from the interruption of the services. In particular, Gretel shall not be liable in circumstances of force majeure such as fires, strikes and power outages or any other unpredictable or unavoidable events, as well as the improper use of the Website by the User in accordance with the provisions of this legal notice.     

In any case, Gretel shall only be liable for damages that were foreseen or could have been foreseen at the time of the use of the Website by the User, and which are a direct and necessary consequence of a grossly negligent breach of substantial contractual obligations.   

The fact that the Website describes or presents certain services does not imply a commitment by Gretel that such services will be available to the User.  

The exclusion of liability and warranties described in this section shall apply to Gretel as well as to its directors, officers, employees and representatives. 

Modifications

Gretel reserves the right to modify this Legal Notice at any time. Changes or updates to the Legal Notice, as well as to the Terms and Conditions, Privacy Policy and/or Cookies Policy will be explicitly notified to the User through a notice on the Website.

This document includes the terms and conditions of use of the Platform. By accessing, browsing or using the Website and/or the Platform by the user (hereinafter “User”), it is necessary to read and accept the Gretel’s "Legal Texts" (hereinafter the Legal Notice, Privacy Policy, Cookies Policy and these Terms & Conditions). The User declares that he/she has read and agrees with the Legal Texts, and must stop using the Website and/or Portal if he/she does not agree with them.

All that does not expressly provided for in these Terms and Conditions shall be understood to be reserved to Gretel, without prejudice to the application of the provisions of the regulations in force. Furthermore, Gretel reserves the right to carry out modifications and/or updates to the present Terms and Conditions, of which the User shall be previously informed for acceptance or rejection in the event that they are substantial. In any case, the User shall be deemed to have expressly accepted such modifications or updates if he/she returns to use the services offered by Gretel on the Platform.

Description and purpose of the platform

The Platform aims to provide users with a tool to autonomously understand their digital marketing efforts in an easy way to better connect with their audience and have full control of their resources. With Gretel, marketing managers avoid having to manually search for all the data that a professional of marketing needs in the company where he/she works, and have the full story in the easiest way possible right available to them when’s needed. 

Companies can miss opportunities and make bad decisions based on outdated and inaccurate data in the growing number of applications being used. 

Gretel provides a Platform that allows to connect all the marketing apps that the User uses in just 1 click, without involving a data expert and then automatically get insights from relevant things happening inside those apps that Gretel detects intelligently. Those insights are then showed in a Feed, showing anomalies, actions or summaries of the performance of the campaigns. 

The Platform also allows the User to understand their marketing data, aligning with the User's team, enabling a more efficient work.

Each user can customize the Gretel experience filtering the insights they’re more interested about based on time frame, source or even type of insight.

Services

The services offered by Gretel to the Users through the use of the Platform are based on the following:

• Apps: the User must first connect the apps and marketing tools used in his company to the Platform.

• Feed: The page feed is a real-time stream of insights that is coming from the data of the marketing apps and tools. The information that flows into these applications and tools is incorporated into the Gretel Platform. In this way, the User does not have to enter each of the apps or marketing tools but can access the information of these only by accessing the feed section of the Platform. The Platform informs about all the important or irregular insights for the User using software and intelligence, which can be budget or campaign changes, performance summaries, audience activity, sources of traffic, among others. 

• Things: the page things works as a bookmark, so that the User can mark those insights that most interest him/her to keep track of the evolution.

• Feedback and comments: The user can add feedback and comments to each insight to interact with the rest of the team and suggest improvements. 

• Filters: Allows the user to filter by the type of insight, app or time frame so the visualization of the insights are more relevant to his day to day and for reporting.

Subscription

Gretel provides the User with the possibility to make three types of subscriptions (i) Free Plan (ii) Starter Plan (iii) Pro Plan.

The prices, characteristics and limitations of each plan will be those established from time to time on Gretel's website, in particular through https://gretel.co/pricing. 

The subscription can be paid on a monthly or annual basis. The User can create the User account directly through the website, either by contracting the free plan or one of the payment plans. In the event that the User has created an account from a free plan, at any time the User can modify his/her plan by adding a credit card. Once the User's credit card has been added to the Platform, Gretel will charge the corresponding payments according to the selected payment method (monthly or annual basis).

User Obligations

The User shall be responsible for the access, navigation or use of the Platform in accordance with the present Legal Texts as well as with the applicable legislation.

As an example, but not limited to, the following is expressly prohibited:

• Use the Platform for illicit and/or illegitimate purposes; or in an illegal manner.

• Use the Platform to the detriment of Gretel interests, as well as use the Platform for the purpose of reverse engineering.

• Use the Platform for the purpose of causing damage, inefficiency, interruptions, saturation, or similar defects in the functionality of the Platform; including the transmission of malware, viruses or similar programs to disseminate or publish offensive, racist, denigrating or pornographic content that could cause discomfort to people;

• Violate the security measures established by Gretel;

• Register on the Platform with a false identity;

• Use the Platform for advertising purposes, such as sending spam or other similar ways;

The User undertakes not to use the Platform in accordance with the above assumptions, as well as not to breach any of the provisions of these Terms. If the User fails to comply with its obligations regarding the use of the Platform, Gretel reserves the right to take the measures it deems appropriate in accordance with the law, such as expulsion or prohibition of access of a User.

Platform License

Registration in the Platform by accepting these Legal Texts implies the granting by Gretel to the Users of a limited, non-exclusive, revocable, non-transferable and non-sublicensable license to access and use the Platform, for the same duration as the User's personal account in the Platform and for all territories in the world (hereinafter, the "License"). In any case, the Platform made available to Users may not be copied, modified, developed, decompiled and disclosed without the prior authorization of Gretel.

Gretel shall make every reasonable effort to ensure access to and availability of the Platform at all times, although this may be limited by the performance of technological maintenance of the Platform. In any case, these limitations or any circumstantial modification of the conditions applicable to the services will be notified through notices on the Platform.

Warranties and limitation of liability

Gretel guarantees that the information published on the Platform are legitimately obtained from the sources identifies by the User, although it shall not be liable for the accuracy, completeness or updating of such published information, and shall not assume any liability for hypothetical damages that may arise from the use of the aforementioned information. Moreover, Gretel will not be liable for the information published by the User.

Gretel will make every reasonable effort to ensure access to and availability of the Platform at all times. However, Gretel does not guarantee the full availability of the Platform, as access to the Platform depends on circumstances beyond its control and the Platform itself, such as the availability or operation of the communications networks. Therefore, to the extent permitted by the applicable laws, Gretel shall in no case be liable for damages of any nature, direct or indirect, material or moral, that may arise from the use of the Platform, in particular, but not limited to, lack of availability, accessibility, compatibility with third-party software and operation of the Platform, loss of data due to possible illicit uses and/or acts by the User that are contrary to the law or what is authorized under this Legal Texts or force majeure.

Furthermore, the Platform is made available to Users “as is”, in its current state of development and with the functionalities provided at the time of the User’s register, or other functionalities that may be available at any given time that are appropriate to the Platform’s services. Therefore, Gretel only guarantees the adecuacy of the Platform to the services offered and to the operating systems and devices for which it has been developed.

Gretel shall in no event be liable for damages of any nature, direct or indirect, material or moral, that may arise from access to and use of the Platform, in particular, the lack of availability, accessibility and functioning of the Platform.

Users undertake to make proper use of the Platform in accordance with the applicable law and this Legal Texts, assuming any liability that may arise as a result of legal non-compliance. The use of the Platform for purposes harmful to property or interests of Gretel or third parties or that overload, damage or disable the networks, servers and other information equipment or products of Gretel or third parties is expressly prohibited. Users are solely liable to Gretel and any third party for the use of their personal account on the Platform, as well as for any content uploaded to the Platform.

Intellectual and industrial property

The intellectual and industrial property rights on the Platform, graphic design and computer codes, as well as distinctive signs and trademarks, text, images, videos shown are the property of Gretel, or its licensors. All rights in relation to such content are reserved and express permission must be requested from Gretel for its use and exploitation.

Any use of the content for which Gretel has not expressly authorized, whether directly or indirectly for profit or not, including the downloading, storage, transmission, public disclosure, distribution, reproduction or transformation, in whole or in part, of such content is expressly prohibited, and Gretel may exercise all judicial and extrajudicial actions it deems appropriate in the event of any breach of its rights.

Third party links

The Platform may contain links to services, websites, applications, advertisements or similar content for which third parties are responsible. When the User clicks on such links and leaves the Platform, Gretel does not control and is not responsible for the third-party content accessed by the User. Gretel does not review, approve or monitor such third-party content, products or services accessible through such links. The use of all third-party links by the User is at the User's own risk.

Data protection

All data provided by the User to Gretel will be processed with confidentiality and responsibility by Gretel in accordance with the Privacy Policy.

Communications

Gretel may communicate with the User via email and/or telephone calls provided that the User has given consent where legally required. These communications may be sent or initiated by Gretel or by any of its suppliers for any service related to the use of the Platform.

To stop receiving notifications the User may manage his/her consents and preferences by sending a request to Gretel through the mechanisms enabled for this purpose in each communication or sending an email to hello@gretel.co. The User accepts that Gretel will send a message to confirm that the request to unsubscribe from commercial communications has been received and answered. 

Complaints

The User may file a complaint by contacting Gretel by e-mail at hello@gretel.co or by any other means of contact provided on the Platform or in the Legal Texts.

Notwithstanding the foregoing, the European Commission offers a freely accessible platform for out-of-court online dispute resolution (http://ec.europa.eu/consumers/odr/) to which the parties may submit voluntarily through the intervention of the Dispute Resolution Body acting as an impartial intermediary between the two parties.

Platform Termination

The User may unsubscribe from the Platform by (i) within the Platform following the procedure indicated therein in the user area or (ii) by request via email to hello@gretel.co, indicating the User's name. Once the User's cancellation has been made effective, Gretel will send a confirmation of the cancellation. From that moment on, all paid functionalities will no longer be available and they’d be able to keep using the free version of the product. 

In any case, the User may request a new registration. Gretel reserves the right not to accept such registration in cases where the provisions of these Legal Texts are contravened. Gretel may also refuse to accept such registration in the event that the resolution of any dispute or controversy between the parties is pending.

Governing Law

Since the Platform is will be used and offered in Spain, the applicable law will be Spanish common law. 

The competent courts shall be those corresponding to the city of the User's address as a consumer. The foregoing shall be without prejudice to the judicial competence established by virtue of the mandatory regulation, of the extrajudicial procedures to which the parties voluntarily submit themselves and of the provisions of the previous section on Claims.

Change in the terms and conditions

Gretel reserves the right to modify this Terms and Conditions at any time. Changes or updates to the Terms and Conditions will be explicitly notified to the User by means of a notice on the Website, together with the updated version of the Terms and Conditions.
